All Nobel Biocare Holding AG shares are registered shares at a nominal value of CHF 0.40 each. All shares are fully paid in, have equal voting rights and entitle the owners to the same share in the company's assets and profits.
The conditional share capital may be used for the exercise of option rights which the employees and officers of the Company and/or Group companies are granted. For further information on the staff option program, please refer to the Corporate Governance Report.
Furthermore, based on the shareholders' approval at the Annual General Meeting on 6 April 2009:
The Board of Directors is authorized to increase the share capital until 6 April 2011 by an amount of up to CHF 10,000,000 by issuing up to 25,000,000 fully paid-up registered shares with a nominal value of CHF 0.40 each. The increase in partial amounts is permitted.
The share capital may be increased by an amount of up to CHF 10,000,000 by issuing up to 25,000,000 fully paid-up registered shares with a nominal value of 0.40 each by exercising conversion and/or option rights which are granted in connection with the issuance of bonds or similar dept instruments by the Company or one of its group companies in capital markets or in connection with a transaction. Nobel Biocare Holding AG has neither issued any participation certificates nor any bonus certificates nor any profit sharing certificates.
The entire share capital is evidenced by a Permanent Global Share Certificate. The shareholders are co-owners of such global certificate in proportion of their shareholding. Shareholders have no right to request the issue and delivery of individual share certificates.
The shares are listed at SIX Swiss Exchange.
